Real-Life Decision Making -- Solution

This is the real-life decision made by corporate lawyer Rick Wilson.

"I could have just said no, you can't do that," says Wilson. Instead, he asked the client what he was trying to accomplish. It turned out that the client's main goal was to bring in a number of shareholders on a different share level.

Wilson was able to find a way of doing that without requiring the approval of all the shareholders. He simply created a different class of common shares.

"There is almost always something you can do," he says. "You need to get at what the client really wants. In this case, we [the law firm] had the client put the situation to us in such a way that we could see what the problem was."
